Terms of Service

These Terms of Service ("Terms") govern your use of the IntelAGENT OHIP billing software and services provided by 1876513 Ontario Inc. ("IntelAGENT", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

Acceptance of Terms

By creating an account or using IntelAGENT services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Description of Service

IntelAGENT performs OHIP billing work on behalf of Ontario physicians, including:

• Submitting your claims to the Ministry as your registered EDT designee
• Retrieving Ministry error reports and remittance advices
• Reporting adjudication outcomes, rejections and payments back to you
• Under Premium, preparation and reconciliation of your claims by a billing agent

Our web portal and mobile applications are provided at no charge as the means of entering claims and viewing the results of this work.

Account Registration

To use our services, you must:

• Be a licensed physician in Ontario with a valid OHIP billing number
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account

User Responsibilities

You agree to:

• Use the service only for lawful OHIP billing purposes
• Ensure all claims submitted are accurate and comply with OHIP regulations
• Maintain appropriate patient consent for billing activities
• Not share your account credentials with unauthorized parties
• Not attempt to reverse engineer, modify, or compromise our systems

Fees and Payment

Fees are charged for the billing work described above and are calculated from the claims the Ministry pays. Self-Service is 0.25% of paid claims, to a maximum of $39.99 per month. Premium is 2% of paid claims. Payment terms:

• Fees are calculated based on claims paid by OHIP
• A 3-month free trial is provided for new accounts
• Payment is due monthly and may be collected via pre-authorized debit
• Prices are subject to change with 30 days notice

Data Ownership

You retain ownership of all data you submit through our service, including patient information and billing records. We do not claim ownership of your data and will not sell or share it with third parties except as required by law or as described in our Privacy Policy.

Service Availability

While we strive to maintain high availability, we do not guarantee uninterrupted access to our services. We may perform scheduled maintenance with advance notice when possible. We are not liable for any damages resulting from service interruptions.

Limitation of Liability

IntelAGENT submits and reconciles claims on your behalf but does not guarantee claim approval or payment by OHIP. We are not liable for claim rejections, payment delays, or any financial losses arising from your use of our service. Users are responsible for ensuring compliance with all applicable OHIP billing regulations.

Termination

Either party may terminate this agreement at any time:

• You may cancel your account at any time through the web portal
• We may suspend or terminate accounts that violate these Terms
• Upon termination, you may request export of your data within 30 days
• Outstanding fees remain payable upon termination

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
